Connectronics, Inc. TERMS & CONDITIONS
Unless otherwise indicated on the quote, written quotations shall expire automatically sixty (60) days after the date appearing on the quotation. For parts requiring new engineering and design, quoted lead times are valid for 10 days from the original quote date.
All orders are considered non-cancellable and non-returnable (except for warranty claims as outlined below) and subject to prior sale.
Title to the products shall pass to the customer upon delivery by Connectronics to the carrier. Risk of loss or damage during shipment and thereafter shall rest with the customer. Any claims for damage or loss of the products while in transit must be submitted and made against the carrier.
Customer must inspect all orders upon receipt for completeness. Any claims for shortages must be made to Connectronics within thirty (30) days after the date the products were shipped from Connectronics.
Payment & Cost of collection
Payment in full shall be made within thirty (30) days of the invoice. In the event payment is not made by the date due, customer shall pay a service charge or finance charge of 1/12% per month on the unpaid principal balance during the delinquency. If the account becomes delinquent, you agree to pay reasonable collection costs, and if placed in the hands of an attorney for collection or suit, you agree to pay reasonable attorney’s fees incurred by Connectronics in the collection of or suit upon the account.
Patent & Trademark Indemnification
Customer agrees to defend, hold harmless and indemnify Connectronics from and against any and all claims, causes of action, demands, damages and/or liabilities, including but not limited to reasonable attorney fees and costs of litigation, arising out of any alleged infringement of any patent, trademark, copyright or other intellectual property right by Connectronics arising from Connectronics manufacture or production of products in compliance with designs, specifications or instructions provided by customer.
Connectronics warrants the products of its manufacture that are provided pursuant to this agreement to be free from defects in the material and workmanship for a period of twelve (12) months from the date of shipping from Connectronics. The warranty covers only workmanship and materials produced by Connectronics and extends only to the customer. This warranty does not extend to any damage or malfunction caused by improper handling, transport, installation, maintenance, or operation, or to products that have been disassembled, modified, or subjected to conditions exceeding the applicable specifications or rating or any other act or omission of the customer.
Connectronics, at its option, will repair or replace any part or parts of the product covered under this express warranty, which after examination, prove to be defective in workmanship or materials during the warranty period. Connectronics shall not be responsible for any repair or replacement required due to misuse, abuse, normal wear and tear or repairs attempted or made upon the products by anyone other than Connectronics. Connectronics’ liability for any claim of any kind shall not exceed the amount of the purchase price of the product or portion thereof, which gives rise to the claim. Connectronics shall not be liable in any event for special or consequential damages.
Components that receive a silver plating finish will, over time, exhibit a tarnish inherent to silver plating. Connectronics will rework / repair tarnished silver plating within six (6) months of the original ship date.
This warranty provision constitutes the entire warranty agreement between the parties pertaining to products provided pursuant to this agreement and supersedes all prior and contemporaneous agreements, representations, and understanding of the parties.
CONNECTRONICS MAKES THIS WARRANTY IN LIEU OF ALL OTHER WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY WARRANTY OF MERCHANTABLITY OR WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE.
